    Affiliate Terms & Conditions

    These Affiliate Terms & Conditions ("Affiliate Terms") govern participation in the GritFlow Affiliate Program ("Program"). By applying to or participating in the Program, you ("Affiliate", "you") agree to be bound by these Affiliate Terms.

    1. Relationship to Other Legal Documents

    These Affiliate Terms constitute a separate and additional agreement between you and GritFlow.

    Unless explicitly stated otherwise in these Affiliate Terms, the following documents remain fully applicable to Affiliates and are incorporated herein by reference:

    • Terms of Service
    • Privacy Policy
    • Cookie & Storage Policy
    • Legal Notice (Imprint)

    In the event of any conflict, these Affiliate Terms shall prevail only with respect to affiliate-related matters.

    2. Program Overview

    The Program is a referral marketing program allowing approved Affiliates to promote GritFlow using a unique referral link and earn commissions on qualifying subscriptions.

    GritFlow remains the sole seller of its services. Affiliates act solely as independent marketing partners.

    Nothing in these Affiliate Terms creates any partnership, joint venture, agency, franchise, employment, or representative relationship.

    3. Eligibility & Admission

    To be eligible, you must:

    • Be at least 18 years old
    • Maintain an active GritFlow user account
    • Be capable of providing valid payment and tax information
    • Comply with all applicable laws and these Affiliate Terms
    • Be a resident of an eligible country (see below)

    Eligible Countries:

    The GritFlow Affiliate Program is currently available to residents of the following countries: Germany, Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Gibraltar, Greece, Hungary, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Switzerland, and the United Kingdom.

    GritFlow reserves the right to modify the list of eligible countries at any time without prior notice.

    Affiliates may apply to the Program, but admission is subject to approval at the sole discretion of GritFlow. GritFlow has no obligation to accept, justify refusal, or respond to any application.

    4. Affiliate Account Requirement

    Affiliate status is strictly linked to a GritFlow user account.

    • Deletion of the GritFlow account results in immediate termination of affiliate status.
    • Affiliate rights, benefits, commissions, and discounts do not survive account deletion except as expressly stated herein.

    5. Referral Tracking & Attribution

    5.1 Tracking Mechanism

    • Each Affiliate receives a unique referral link.
    • Attribution is based on first-party cookies only.
    • Attribution window: 7 days from the initial click.
    • Attribution model: first-click.
    • Self-referrals are strictly prohibited.

    5.2 Cookie Dependency

    Referral tracking uses first-party functional cookies as described in GritFlow's Cookie & Storage Policy. These cookies contain only an affiliate code and timestamp (no personal information).

    Users may manually clear cookies via browser settings. Affiliates acknowledge that if a user clears the affiliate tracking cookie, no referral credit will be attributed and no commission will be owed.

    5.3 Manipulation Prohibited

    Any attempt to manipulate tracking, cookies, or attribution constitutes a material breach and gross misconduct.

    6. Affiliate Pricing (First Subscription Only)

    6.1 Pricing Freedom (Within Defined Limits)

    Affiliates may modify their affiliate price at any time and as often as they wish, directly through their Affiliate Dashboard, provided that the price remains within the minimum and maximum thresholds defined by GritFlow.

    GritFlow does not limit the number of times Affiliates may adjust pricing, provided all adjustments remain within applicable thresholds.

    Restrictions:

    • The maximum price may never exceed the official public GritFlow price.
    • Minimum prices are determined by GritFlow and may be adjusted at any time.

    6.2 Scope of Affiliate Pricing

    Affiliate pricing applies exclusively to the first subscription payment made by a referred user, regardless of the subscription plan selected (monthly or annual).

    • All subsequent renewals are charged at the standard GritFlow price in effect at the time of renewal.
    • Affiliates have no ability to influence or modify renewal pricing.

    6.3 Price Changes by GritFlow

    GritFlow may modify its official prices, minimum prices, or maximum prices at any time, whether temporarily or permanently.

    • Affiliates will be notified in advance when reasonably possible.
    • Affiliates are responsible for ensuring their prices comply with updated thresholds.

    If an Affiliate's price does not comply with applicable minimums or maximums, GritFlow reserves the right to unilaterally adjust the Affiliate's price to ensure compliance.

    Affiliates acquire no vested or acquired right to any pricing configuration.

    7. Commission Structure

    7.1 Commission Rate

    • Commission rate: Default 30%, subject to individual agreements. Your specific commission rate is displayed in your affiliate dashboard and may vary from affiliate to affiliate.
    • Commission is calculated on the actual amount paid by the customer.
    • Applies to monthly and annual subscriptions.
    • Commissions are recurring: Affiliates earn commissions on the initial payment AND all subsequent renewal payments for the duration of the referred user's active subscription and the Affiliate's active status.
    • No cap on total earnings per referral.
    • Commission rates may be modified by GritFlow at any time subject to the parameter modification process described in Section 27.

    7.2 Recurring Commissions

    Each subscription payment (initial and renewals) generates a commission, subject to its own hold period. The hold period duration may vary by affiliate and is displayed in your affiliate dashboard.

    Commissions cease when the referred user's subscription ends, is canceled, enters a non-payment status, or when the Affiliate's status terminates.

    7.3 Qualifying Conversions

    A qualifying conversion requires:

    1. User clicks Affiliate's unique referral link
    2. User creates a GritFlow account within the 7-day attribution window
    3. User completes payment for a paid subscription (free trials do not qualify)
    4. Payment successfully processes and is not reversed, refunded, or charged back within the hold period

    Commissions are strictly proportional to the price paid and create no guarantee of future income.

    8. Provisional Nature of Commissions

    All commissions are provisional.

    • Hold period: Default 45 days from the date of the related payment, may vary by affiliate. Your specific hold period is displayed in your affiliate dashboard.
    • Payments subject to refunds, chargebacks, disputes, fraud, or reversals result in commission cancellation or clawback.
    • A commission does not constitute a debt or payable amount owed by GritFlow until it has been successfully paid out to the Affiliate.
    • Hold periods may be modified by GritFlow at any time subject to the parameter modification process described in Section 27.

    9. Payouts

    Important: All payout parameters (minimum, maximum, frequency, and hold periods) may vary from affiliate to affiliate. Your specific parameters are displayed in the legal section of your affiliate dashboard and may be modified subject to the parameter modification process described in Section 27.

    9.1 Payout Terms

    • Minimum payout: Default USD $30.00, may vary by affiliate
    • Maximum payout per request: Default USD $200.00, may vary by affiliate
    • Payout frequency: Default 1 payout request per 7 days, may vary by affiliate
    • Your specific payout parameters (minimum, maximum, and frequency) are displayed in your affiliate dashboard
    • Currency: All amounts are in United States Dollars (USD)
    • Payouts are request-based, not automatic
    • Payments are made exclusively via Stripe Connect
    • Payout parameters may be modified by GritFlow at any time subject to the parameter modification process described in Section 27

    9.1.1 Full Commission Payout Rule

    Payouts may only include full, complete commissions. A single commission cannot be split across multiple payout requests.

    When processing a payout request at the maximum payout limit, GritFlow will gather eligible commissions (by order of first to last earned) until the maximum limit would be exceeded by the next commission. As a result, the actual payout amount may be lower than the stated maximum limit to ensure no commission is partially paid.

    Example: If your maximum payout is $200.00 and you have eligible commissions of $80, $70, $60, and $40, GritFlow will pay out $150 ($80 + $70) as full commissions, since adding the $60 commission would exceed the limit. The $60 and $40 commissions would remain for a future payout request.

    9.2 Stripe Connect Requirements

    Affiliates must complete Stripe Connect onboarding and maintain current and accurate payment information in compliance with Stripe's terms of service.

    Failed transfers due to invalid, incomplete, or outdated account information are the Affiliate's sole responsibility. GritFlow is not liable for delays or failures caused by Affiliate's Stripe account issues.

    Currency Conversion: All payouts are made in United States Dollars (USD). If your Stripe Express account is configured in a currency other than USD, Stripe may apply currency conversion at their prevailing exchange rate and may charge additional conversion fees. These fees and exchange rates are determined solely by Stripe and are outside GritFlow's control. Affiliates are responsible for reviewing Stripe's fee schedule and understanding any currency conversion costs that may apply to their payouts.

    9.3 Payout Approval Process

    All payout requests are subject to approval at GritFlow's sole discretion.

    GritFlow may approve, deny, or delay any payout request for any reason, including but not limited to suspected fraud, compliance concerns, system issues, or Terms violations.

    Denial of a payout request does not automatically forfeit eligible commissions unless termination for gross misconduct occurs.

    9.4 Trusted Affiliate Status

    GritFlow may, at its sole discretion, designate certain Affiliates as "trusted," which may result in expedited or automatic payout processing.

    This designation:

    • May be granted or revoked at any time without notice or justification
    • Does not create any contractual right or expectation
    • Does not guarantee faster processing in all cases

    No Affiliate has any right to trusted status or to challenge its grant or removal.

    10. Suspension & Investigation

    GritFlow may temporarily suspend payouts in cases of suspected fraud, abuse, or non-compliance.

    • Affiliates will be notified when reasonably possible
    • Reasonable cooperation may be required
    • Failure to cooperate may result in prolonged suspension or termination

    11. Chargebacks & Clawbacks

    11.1 Unpaid Commissions

    Commissions related to payments that are refunded, charged back, or disputed before payout are canceled and will not be paid. The hold period duration (within which such events may occur) varies by affiliate and is displayed in your affiliate dashboard.

    11.2 Paid Commissions

    If a commission has already been paid out and the related payment is subsequently reversed:

    • The commission amount will be deducted from the Affiliate's future earnings
    • Deductions are applied automatically to subsequent payout requests

    11.3 No Debt Owed

    Affiliates shall never owe money directly to GritFlow.

    If no future earnings exist to recover a clawback, the loss is absorbed by GritFlow. GritFlow will not pursue collection or demand repayment from Affiliates.

    12. Prohibited Activities (Gross Misconduct)

    Affiliates are strictly prohibited from engaging in the following activities, which may constitute gross misconduct:

    Fraud & Manipulation:

    • Fraud, attempted fraud, or misrepresentation
    • Self-referrals, fake accounts, or artificial signups
    • Cookie stuffing or tracking manipulation
    • Any form of attribution fraud

    Marketing Violations:

    • Spam, unsolicited communications, or deceptive marketing
    • Bidding on "GritFlow" or confusingly similar terms in paid search advertising (Google Ads, Bing Ads, etc.)
    • Registering domain names containing "GritFlow" or variations
    • Creating social media accounts that impersonate or falsely suggest official affiliation with GritFlow
    • Using pop-ups, pop-unders, malware, or misleading redirects

    Misrepresentation:

    • False, misleading, or unsubstantiated claims about GritFlow's products or services
    • Failure to comply with FTC disclosure requirements
    • Trademark or brand usage violations

    Legal Violations:

    • Violation of any applicable law, including but not limited to FTC regulations, GDPR, CCPA, CAN-SPAM, or other consumer protection laws
    • Infringement of third-party intellectual property rights

    Engaging in any prohibited activity may result in immediate termination and forfeiture of all commissions.

    13. FTC Disclosure Obligations

    Affiliates must clearly and conspicuously disclose their affiliate relationship in all promotional content, including but not limited to:

    • Blog posts, articles, and reviews
    • Social media posts (use "#ad" or "#affiliate")
    • Videos and podcasts
    • Email communications

    Disclosures must:

    • Appear before or alongside the affiliate link (not hidden in footers)
    • Use clear, unambiguous language (e.g., "I earn a commission if you purchase through my link")
    • Comply with FTC Endorsement and Testimonial Guidelines

    Failure to comply may result in immediate termination, forfeiture of commissions, and potential legal liability for both Affiliate and GritFlow.

    14. Data Protection & Privacy

    14.1 Data Shared with Affiliates

    GritFlow shares only aggregated, non-personally identifiable statistics with Affiliates, including:

    • Number of clicks on referral links
    • Number of signups attributed to Affiliate
    • Number of conversions (paid subscriptions)
    • Commission amounts earned

    14.2 No Personal Data Sharing

    GritFlow does not disclose customers' names, email addresses, payment information, or any other personally identifiable information to Affiliates.

    14.3 Affiliate Responsibilities

    Affiliates are responsible for:

    • Maintaining their own privacy policy if they collect user data
    • Complying with GDPR, CCPA, and all applicable data protection laws in their marketing activities
    • Not misusing any data obtained through the Program

    14.4 Incorporated Policies

    GritFlow's Privacy Policy and Cookie & Storage Policy apply to all Program activities.

    15. Intellectual Property

    15.1 Limited License

    Affiliates receive a limited, non-exclusive, non-transferable, revocable license to use approved GritFlow trademarks, logos, and marketing materials solely for the purpose of promoting GritFlow in compliance with these Affiliate Terms.

    15.2 Restrictions

    Affiliates may not:

    • Modify, alter, or create derivative works of GritFlow's trademarks or logos
    • Register domain names, social media handles, or business names containing "GritFlow" or confusingly similar terms
    • Use GritFlow's intellectual property for any purpose other than Program participation
    • Claim endorsement, partnership, sponsorship, or official affiliation without express written permission

    15.3 Termination of License

    All intellectual property rights and licenses granted herein terminate immediately upon termination of Affiliate status. Affiliates must immediately cease all use of GritFlow's branding and materials.

    16. Affiliate Benefit – GritFlow Subscription

    16.1 Automatic Subscription Conversion

    When you become an approved affiliate:

    • No active subscription: You may subscribe to our monthly plan at no cost
    • Active monthly subscription: You will receive a prorated refund for the unused portion of your current billing period. A new monthly subscription at $0.00 will begin immediately.
    • Active annual subscription: You will receive a prorated refund for the unused portion of your annual payment. Your subscription will be converted to monthly billing at $0.00 immediately.

    Refunds are issued to your original payment method within 5-10 business days. If the refund cannot be processed to your payment method, it will be applied as account credit.

    16.2 Monthly Billing Restriction

    Affiliate subscription benefits are provided on monthly billing cycles only.

    • You cannot select or maintain an annual subscription while receiving the affiliate benefit
    • Attempts to switch to annual billing while an active affiliate will be rejected
    • This restriction is designed to ensure fairness in the event of affiliate status termination

    16.3 Free Subscription While Active

    • Your monthly subscription renews automatically at $0.00 each billing cycle
    • Valid while Affiliate status remains active and in good standing
    • You will never be charged while your affiliate status is active

    16.4 Subscription Handling Upon Status Termination

    When your affiliate status ends (whether by your request or our decision):

    • Your subscription will be automatically set to cancel at the end of your current billing period
    • Your subscription will NOT automatically convert to a paid subscription
    • You will retain full access until the end of your current billing period
    • After your billing period ends, your access will stop and you will NOT be charged
    • You may resubscribe at any time at standard rates ($4.99/month or $49.90/year)

    16.5 Resubscription Options

    After your affiliate status ends and your subscription is cancelled, you may resubscribe:

    • Through your Stripe Customer Portal (reactivates cancelled subscription at standard monthly rate)
    • Through our website at standard rates ($4.99/month or $49.90/year - both options available)
    • Your saved payment method will be used - no need to re-enter card information

    16.6 Modification of Benefit

    This benefit may be modified or discontinued at GritFlow's sole discretion with reasonable advance notice to active affiliates.

    17. Termination

    17.1 Termination by GritFlow (No Gross Misconduct)

    GritFlow may terminate Affiliate status at any time, for any reason or no reason, with or without notice.

    Termination is effective when the Affiliate's referral link is disabled.

    Effect on Commissions:

    • No new commissions accrue after termination
    • Commissions still in hold period at the time of termination will NOT be paid
    • Eligible commissions (those that have completed the hold period and have not yet been subject to a payout request) will be reviewed and approved or denied by GritFlow without requiring the Affiliate to submit payout requests
    • Each payout remains subject to individual approval under Section 9.3

    Post-Termination Access:

    Former Affiliates with a connected Stripe account may access their Stripe Express dashboard and view approved (but not yet paid) payouts through their GritFlow account settings.

    17.2 Termination by GritFlow (Gross Misconduct)

    In cases of gross misconduct, fraud, or material breach, GritFlow may:

    • Terminate Affiliate status immediately
    • Pursue legal remedies for damages

    Effect on Payouts:

    • Payout requests already approved prior to termination will be processed and paid
    • Pending payout requests will be reviewed individually; GritFlow may approve or deny each request depending on whether the underlying commissions are related to the misconduct
    • Eligible commissions not yet requested (those that have completed the hold period but have not been subject to a payout request) will be reviewed and approved or denied by GritFlow without requiring the Affiliate to submit payout requests
    • Commissions still in hold period at the time of termination will NOT be paid
    • Commissions directly related to misconduct (e.g., fraudulent referrals) are subject to forfeiture regardless of status

    17.3 Termination by Affiliate

    Affiliates may request termination by:

    • Sending written notice to contact@gritflow.app
    • Specifying the desired termination date

    Termination is effective only upon written confirmation by GritFlow.

    17.4 No Assignment

    Affiliates may not assign, transfer, sublicense, or delegate their affiliate status, account, referral link, or any rights or obligations hereunder without prior written consent from GritFlow.

    Any attempted assignment without consent is void.

    18. Account Deletion & Forfeiture

    Deletion of the GritFlow user account results in:

    • Immediate and automatic termination of affiliate status
    • Termination of all affiliate benefits, including subscription discounts
    • No recovery, appeal, or reinstatement of affiliate status

    Effect on Payouts:

    • Payout requests already approved (but not yet paid) prior to account deletion will be processed and paid to the connected Stripe account
    • All other unpaid commissions (pending requests, eligible commissions, and commissions in hold period) are permanently and irrevocably forfeited

    Affiliates acknowledge that account deletion is irreversible and expressly waive any claims to unpaid commissions (except for already-approved payouts) following voluntary account deletion.

    19. Taxes

    Affiliates are independent contractors, not employees.

    Affiliates are solely responsible for:

    • All applicable income taxes, self-employment taxes, and other tax obligations
    • Providing accurate tax information to Stripe (W-9 for U.S. residents, W-8 for non-U.S. residents)
    • Filing all required tax returns

    Stripe may issue tax documentation (e.g., 1099-NEC for U.S. Affiliates earning $600 or more annually) as required by law.

    GritFlow does not withhold taxes on behalf of Affiliates.

    20. Confidentiality

    Affiliates agree to keep confidential all non-public information about the Program, including but not limited to:

    • Internal commission structures and payout processes
    • Proprietary marketing materials not publicly available
    • Communications with GritFlow staff
    • Information about other Affiliates

    This obligation survives termination.

    21. Control of Service

    GritFlow retains sole and absolute discretion over:

    • Product pricing, plans, and features
    • Service availability, modifications, or discontinuation
    • Affiliate Program terms, structure, or existence
    • Commission rates and payout policies

    No Affiliate acquires any right to:

    • Continuity of the Program
    • Maintenance of current terms or commission rates
    • Future earnings or opportunities

    22. Liability & Indemnification

    22.1 Program Provided "As Is"

    The Program is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

    GritFlow makes no guarantee of earnings, referral volume, conversion rates, or any financial outcomes.

    22.2 Limitation of Liability

    To the maximum extent permitted by law:

    Maximum Liability:

    GritFlow's total liability to any Affiliate shall not exceed the total amount of commissions owed to that Affiliate at the time the claim arises.

    Excluded Damages:

    GritFlow is not liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to:

    • Lost profits or revenue
    • Loss of business opportunities
    • Damage to reputation
    • Loss of data or information

    This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if GritFlow has been advised of the possibility of such damages.

    22.3 Affiliate Indemnification

    Affiliates agree to indemnify, defend, and hold harmless GritFlow, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

    • Affiliate's violation of these Affiliate Terms
    • Affiliate's violation of any law or regulation, including FTC, GDPR, CCPA, or CAN-SPAM violations
    • Affiliate's marketing activities or promotional content
    • Affiliate's infringement of third-party intellectual property rights
    • Affiliate's misrepresentation or fraudulent conduct

    This indemnification obligation survives termination.

    23. Force Majeure

    GritFlow shall not be liable for any delay, failure, or interruption in the performance of its obligations under these Affiliate Terms due to circumstances beyond its reasonable control, including but not limited to:

    • Acts of God, natural disasters, pandemics, or epidemics
    • War, terrorism, civil unrest, or government actions
    • Internet or telecommunications failures
    • Cyberattacks, hacking, or data breaches
    • Third-party service failures (including Stripe or payment processors)

    During any such event, GritFlow's obligations are suspended for the duration of the force majeure event.

    24. Severability

    If any provision of these Affiliate Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

    The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

    25. Entire Agreement

    These Affiliate Terms, together with the documents incorporated by reference in Section 1 (Terms of Service, Privacy Policy, Cookie & Storage Policy, and Legal Notice), constitute the entire agreement between the Affiliate and GritFlow regarding the Program.

    These Affiliate Terms supersede all prior or contemporaneous communications, proposals, agreements, or understandings, whether written or oral, regarding the subject matter herein.

    26. Governing Law & Jurisdiction

    These Affiliate Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.

    Any disputes, claims, or controversies arising out of or relating to these Affiliate Terms or the Program shall be subject to the exclusive jurisdiction of the courts of the Canton of Fribourg, Switzerland.

    27. Modifications to Terms & Parameters

    27.1 Base Terms Modifications

    GritFlow may modify these base Affiliate Terms at any time, at its sole discretion. Material changes to the base terms will be communicated to Affiliates reasonably in advance via email to the address associated with the Affiliate's account.

    For non-material changes, notice may be provided through the Affiliate Dashboard or by updated "Last Updated" date at the top of these Affiliate Terms.

    Continued participation in the Program after the effective date of any modification constitutes acceptance of the modified terms. Affiliates who do not agree with the modifications may terminate their participation by following the process outlined in Section 17.3 or by contacting support@gritflow.app.

    27.2 Affiliate-Specific Parameter Modifications

    GritFlow may modify affiliate-specific parameters (commission rate, hold period, payout limits, frequency, trust status, etc.) at any time at its sole discretion. While GritFlow generally strives to make parameter modifications that favor Affiliates, this is not guaranteed, and changes may be made for business needs, compliance, performance, or other reasons.

    27.3 Parameter Modification Process

    When affiliate-specific parameters are modified:

    1. Email Notification: GritFlow will send an email notification detailing the parameter changes, including old and new values
    2. Dashboard Access Blocked: Upon your next visit to the affiliate dashboard, you will be required to review and accept the parameter changes before accessing the dashboard
    3. Acceptance Required: You must explicitly accept or decline the changes. Dashboard functionality remains blocked until a decision is made
    4. Timestamped Appendix: Acceptance of modified parameters creates a timestamped appendix to these Affiliate Terms, which can be viewed in the legal section of your account settings

    27.4 Activities During Pending Acceptance

    While parameter changes are pending acceptance and dashboard access is blocked:

    • Commissions Continue: Your commissions continue to accrue and be tracked normally under the previous parameters
    • Existing Payouts Processed: Payout requests already submitted before the parameter changes will be processed under the previous parameters (subject to standard approval processes)
    • New Payout Requests Blocked: You cannot submit new payout requests until you accept the parameter changes
    • Referral Links Active: Your referral links remain active and continue to track conversions

    27.5 Effect of Acceptance or Extended Delay

    If Accepted: The modified parameters become effective immediately upon acceptance, and dashboard access is restored. All subsequent commissions and payouts are governed by the new parameters.

    If Acceptance Delayed: If you do not respond to parameter modification requests within a reasonable timeframe, GritFlow reserves the right to terminate the affiliate relationship at its sole discretion. What constitutes a "reasonable timeframe" is determined by GritFlow and may vary based on the nature and urgency of the parameter changes.

    If Declined: You may contact support@gritflow.app to discuss the changes. GritFlow is not obligated to accommodate requests for adjustments. Continued refusal to accept may result in termination at GritFlow's discretion.

    27.6 Assumption of Acceptance

    For modifications to the base terms (Section 27.1), if you do not proceed with termination of your affiliate status as described in Section 17.3 after being notified of material changes, your continued participation in the Program will be deemed acceptance of the modified terms.

    27.7 Hierarchy of Terms

    Where your affiliate-specific parameters (as displayed in your affiliate dashboard and the legal section of your account settings) differ from the default values stated in these Affiliate Terms, your personalized parameters shall prevail and constitute your binding agreement with GritFlow.

    In other words, individual parameters assigned to you (e.g., commission rate, hold period, payout limits) take precedence over the general default values mentioned throughout these terms.

    28. Initial Terms Acceptance & Parameter History

    28.1 Initial Terms Acceptance Requirement

    Upon admission to the Program, Affiliates must review and accept these Affiliate Terms, including their specific affiliate parameters (commission rate, hold period, payout limits, and frequency), before accessing their affiliate dashboard.

    If an Affiliate's status is deactivated and later reactivated, they must re-accept these terms upon their next dashboard access.

    28.2 Parameter History & Appendices

    Each accepted parameter modification creates a timestamped appendix to these Affiliate Terms. Affiliates may view their complete parameter history, including all modifications and acceptance dates, in their legal documents section within their account settings.

    The base Affiliate Terms remain constant. Parameter changes are documented as appendices, providing a clear audit trail of the Affiliate's operating terms over time.

    29. WorkFlow Access (Optional Benefit)

    29.1 Discretionary Access

    GritFlow may, at its sole discretion, grant selected Affiliates access to GritFlow WorkFlow, a separate application designed for workflow management and automation.

    WorkFlow access is an optional benefit and is not guaranteed to any Affiliate, regardless of performance or status.

    29.2 Grant and Revocation

    WorkFlow access may be:

    • Granted or denied at any time without notice or justification
    • Revoked at any time, with or without cause
    • Modified or restricted based on usage, compliance, or business needs

    No Affiliate has any right to WorkFlow access, and its grant or revocation does not affect the Affiliate's core program participation, commissions, or payouts.

    29.3 Separate Terms

    If granted WorkFlow access, Affiliates must comply with the WorkFlow application's separate Terms of Service and usage policies. Violation of WorkFlow terms may result in revocation of WorkFlow access and may affect Affiliate Program participation.
